1. Services

Proshoot.co is a Software-as-a-Service (SaaS) application that utilizes artificial intelligence (AI) to generate professional-quality headshots and portraits. The Services allow you to:

Upload your photo, Select desired background and attire options, Generate multiple headshot variations, Download your chosen headshot(s),

2. Eligibility

You represent that you are legally capable of entering into a binding contract in your jurisdiction. The Services are not intended for children.

3. User Accounts

To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account information, including your username and password. You are also fully responsible for all activities that occur under your account. You agree to notify Proshoot immediately of any unauthorized use of your account or any other security breach.

4. Intellectual Property

The Website and Services, including all content, features, and functionality (other than User Content), are owned by Proshoot and its licensors and are protected by intellectual property laws. These Terms do not grant you any ownership rights in the Website or Services.

5. User Content

You retain all ownership rights to the photographs you upload to the Services ("User Content"). By uploading User Content, you grant Proshoot a non-exclusive, worldwide, royalty-free license to host, process, use, reproduce, and display such User Content solely to operate and provide the Services, including generating outputs at your direction.

You represent and warrant that you have all necessary rights, permissions, and legal authority to upload and use the User Content and that your use of the Services will not violate any law or third-party rights.

6. Acceptable Use

You agree not to misuse the Services, including by uploading content you do not have rights to use, generating abusive or unlawful content, or impersonating others. Your use is subject to our Fair Usage Policy.

For avoidance of doubt, you may upload only your own photos or photos of another person where you have obtained all necessary consents and legal authority.

7. Payments

Paid purchases are processed by LemonSqueezy (acquired by Stripe). Prices, applicable taxes, and payment terms are presented at checkout.

8. Refunds

Refund eligibility and procedures are described in our Refund Policy.

9. Privacy

Our collection and use of personal data is described in our Privacy Policy.

10. Outputs

Subject to your compliance with these Terms and payment of applicable fees, Proshoot grants you a worldwide, perpetual, irrevocable, royalty-free, fully paid license to use, reproduce, modify, distribute, and display the AI-generated headshots and other outputs you receive from the Services for any lawful purpose, including commercial use.

11. Third-Party Services

The Services may rely on third-party service providers and infrastructure, including for AI processing, hosting, analytics, and error monitoring. Proshoot is not responsible for third-party services beyond the extent required by applicable law.

12. Disclaimer

The Services are provided "as is" and "as available" without warranty of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Proshoot does not warrant that the Services will be uninterrupted, secure, error-free, or meet your specific requirements. AI-generated outputs may be inaccurate, incomplete, or undesired.

13. Limitation of Liability

To the maximum extent permitted by law, Proshoot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, goodwill, use, data, or other intangible losses, arising out of or related to your use of the Website or Services.

14. Indemnification

You agree to defend, indemnify, and hold harmless Proshoot and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms.

15. Termination

Proshoot may suspend or terminate your access to the Website or Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Rajasthan, India.

17. Entire Agreement

These Terms constitute the entire agreement between you and Proshoot regarding your use of the Website and Services.

18. Changes to these Terms

Proshoot reserves the right to update these Terms at any time by posting the revised Terms on the Website. Your continued use of the Website or Services after the revised Terms are posted constitutes your agreement to be bound by the revised Terms.
